1. Introduction

These Terms and Conditions (“Terms”) govern all services provided by Dynamic Labs Ltd, trading as Dynamic Minds (“we”, “us”, “our”), and the use of our website, www.dynamicminds.ai (“Website”).
By purchasing any of our products or services, or by using this Website, you (“Client”, “you”) agree to be legally bound by these Terms.

These Terms apply to all services purchased via our Website, Stripe checkout, or directly through invoice, including the AI Opportunity Audit, Workflow Blueprint, and Complete AI Strategy packages.

2. Definitions

  • “Services” means any consulting, auditing, strategy, or related service provided by Dynamic Minds.

  • “Deliverables” means any report, roadmap, document, or plan provided as part of the Services.

  • “Client” means the person or organisation purchasing or using our Services.

  • “Implementation Credit” means the £500 credit included in the Complete AI Strategy package, applicable only toward implementation services performed by Dynamic Minds.

  • “Working Days” means Monday to Friday, excluding UK public holidays.

3. Services Overview

Dynamic Minds provides consulting and automation strategy services designed to identify, plan, and prepare AI-driven workflow improvements for clients.

Our current packages include:

3.1 AI Opportunity Audit (£795)

  • 90-minute discovery interview with up to two stakeholders.

  • Audit of existing tools, workflows, and processes.

  • Identification of high-impact automation opportunities.

  • Written audit summary and recommendations.

  • Follow-up review session.

Our audits and reports are typically delivered within 7 days of the discovery interview, subject to timely client cooperation and data availability. This is a target, not a guarantee.

While we make every effort to meet this timeframe, delays may occasionally occur due to unforeseen circumstances, such as limited client availability, technical issues, or external dependencies. Dynamic Minds will keep the Client informed of any changes to delivery timelines.

3.2 Workflow Blueprint (£2,995)

  • 90-minute kick-off workshop.

  • Mapping of the current process and identification of pain points.

  • Design of an AI-enhanced workflow and automation roadmap.

  • Delivery of a detailed Implementation Roadmap.

The Client must provide timely access to relevant process documentation and stakeholders. Delays in providing information may extend delivery timelines.

The Workflow Blueprint includes up to two (2) rounds of revisions following the initial submission. Any further amendments, redesigns, or additional consultations beyond this scope may incur additional charges at Dynamic Minds’ standard hourly rate (£120/hour) or agreed project fee.

Clients are responsible for providing accurate, complete, and up-to-date information during the interview and review stages. Failure to supply current or correct information may result in omissions, misalignments, or incomplete process mapping within the final Blueprint. Should subsequent revisions be required to address these issues, Dynamic Minds reserves the right to apply additional fees to cover the extra work involved.

Dynamic Minds will endeavour to ensure all deliverables reflect the information provided at the time of the audit and design; however, the accuracy and applicability of the Blueprint rely on the client’s cooperation and data integrity.

3.3 Complete AI Strategy (£3,395)

Combines both the AI Opportunity Audit and Workflow Blueprint services, with additional implementation consultation and a financial incentive.

Includes:

  • AI Opportunity Audit deliverables

  • Workflow Blueprint deliverables

  • Implementation consultation session

  • £500 implementation credit toward services performed by Dynamic Minds

The £500 implementation credit:

  • Is valid for 60 days from delivery of the Implementation Roadmap.

  • Can be redeemed only if the Client proceeds with an implementation project delivered by Dynamic Minds.

  • Cannot be exchanged for cash, transferred, or applied to third-party services.

  • Expires automatically if unused after 60 days.

The Complete AI Strategy engagement includes the delivery of a strategic roadmap and implementation plan tailored to the client’s operations. This package provides a £500 credit towards implementation services, redeemable only if the client proceeds with Dynamic Minds for the recommended automation or AI solution(s) detailed within the Implementation Roadmap. The credit is non-transferable, non-refundable, and must be used within 60 days of the Strategy delivery date unless otherwise agreed in writing.

The AI Strategy deliverable includes up to two (2) rounds of revisions to the proposed roadmap or recommendations. Revisions must be requested within seven (7) calendar days of delivery. Any further amendments, alternative solution explorations, or additional strategy workshops requested by the client may incur additional fees.

Clients are required to provide accurate and up-to-date operational data during the strategy process. Dynamic Minds cannot be held liable for any recommendations or outcomes based on incomplete, inaccurate, or outdated information supplied by the client. Subsequent rework or plan modifications resulting from such circumstances will be subject to additional charges at Dynamic Minds’ standard hourly rate (£120/hour) or agreed project fee.

4. Client Obligations

To ensure delivery within expected timelines, the Client agrees to:

  • Attend scheduled interviews, workshops, and sessions on time.

  • Provide necessary access to data, tools, systems, or stakeholders.

  • Respond promptly to information requests or clarifications.

Failure to do so may delay delivery and does not constitute a breach by Dynamic Minds.

5. Fees and Payment Terms

  • All fees are payable upfront via Stripe checkout or invoice, unless otherwise agreed in writing.

  • Work will not commence until full payment has been received.

  • Once services have commenced (including scheduling of discovery sessions), payments are non-refundable.

  • Prices are exclusive of VAT unless stated otherwise.

6. Deliverables and Ownership

Dynamic Minds retains full intellectual property rights in its methodologies, frameworks, and materials.
Clients are granted a non-exclusive, perpetual licence to use Deliverables internally within their organisation for business purposes.
Deliverables may not be shared, resold, republished, or distributed externally without written consent.

7. Limitation of Liability

To the fullest extent permitted by law:

  • Our total liability for any claim arising under these Terms shall not exceed the total amount paid by the Client for the relevant Service.

  • We shall not be liable for any indirect, incidental, or consequential loss (including loss of profit, revenue, or opportunity).

  • We accept no responsibility for third-party software, APIs, or integrations referenced or recommended during our work.

  • All Deliverables are based on the information provided by the Client; we are not responsible for inaccuracies or omissions in that information.

8. Force Majeure

We shall not be held liable for delays or failure to perform any obligation under these Terms if the delay or failure arises from events beyond our reasonable control, including but not limited to: illness, technical failure, natural disasters, industrial disputes, or government restrictions.

9. Confidentiality

Both parties agree to treat all non-public, proprietary, or business-sensitive information shared during the engagement as strictly confidential.

This obligation shall survive termination of the engagement.

10. Cancellations and Rescheduling

If you need to reschedule an interview or workshop, at least 48 hours’ notice must be provided.
Rescheduling with less than 48 hours’ notice may result in an additional fee at our discretion.
No refunds will be issued once work has commenced.

11. Termination

Dynamic Minds may terminate a project if the Client:

  • Fails to provide required information or access within a reasonable timeframe.

  • Behaves in a way that is abusive, unethical, or obstructive.

In such cases, no refund will be issued, and all work completed up to that date remains payable.

12. Website Use

Your use of our Website signifies acceptance of the following:

  • All content is owned or licensed by Dynamic Minds and may not be reproduced without permission.

  • We are not responsible for third-party links, websites, or integrations referenced on our Website.

  • You may not use our Website to transmit malicious software or unauthorised data.

13. Newsletter Subscription & Promotional Offers

  1. By subscribing to our newsletter or insider list, you agree to receive occasional emails from Dynamic Minds, including updates, insights, and promotional content related to our services. You may unsubscribe at any time using the link provided in each email.

  2. Promotional offers and discount codes (including sign-up offers) are issued at our discretion and subject to availability. Each code:
    a. Is single-use and non-transferable.
    b. Cannot be combined with other offers unless explicitly stated.
    c. Applies only to eligible services as specified at the time of issue.
    d. May be time-limited or restricted to new subscribers.

  3. Dynamic Minds reserves the right to amend, suspend, or withdraw promotional offers without prior notice.

  4. Misuse or unauthorised distribution of a discount code may result in cancellation of the related order or service.

  5. Your subscription and participation in promotional campaigns do not alter or override any other terms in this document.

  6. All personal data collected for newsletter or promotional purposes is handled in accordance with our Privacy Policy, which explains how we process, store, and protect your information and how you can withdraw consent at any time.

14. Data Protection

We process personal data in accordance with our Privacy Policy and applicable UK GDPR and Data Protection Act 2018.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
